1. Acceptance of Terms

By accessing or using the Centurim platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and Centurim Ltd ("Centurim," "we," "our").

2. Description of Service

Centurim is a business-to-business intelligence platform. It surfaces businesses that are likely to need a customer's services, together with the reasoning and, where appropriate, a contact and a drafted opening message. The Service does the research, qualifying, and drafting. It stops at the call: the decision to contact a business, and the outreach itself, remain with the customer.

3. User Accounts

To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account.

4. Subscriptions & Payments

The Service is sold on a subscription basis, billed monthly or annually at the current published rate.
Founding-cohort pricing, where offered, is price-locked for the stated term.
Payments are processed securely through our payment processors, Dodo Payments and PayPal. By subscribing, you agree to the processor's terms of service.
Prices are in GBP and are subject to change with reasonable notice, which will not affect a price-locked term already in effect.
Monthly subscriptions may be cancelled at any time and will not renew for the following month. Annual subscriptions run for their term. See our Refund Policy.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws, including data protection and electronic marketing rules.
Use information from the Service in a way that breaches the rights of the individuals or businesses it concerns, or that ignores a valid opt-out.
Attempt to reverse-engineer, decompile, or extract the models, methods, or data sources underlying the Service.
Resell, redistribute, scrape, or sublicense the Service or its output without written permission.
Conduct outreach that you are not lawfully permitted to conduct. Responsibility for each contact rests with you.

6. Intellectual Property

Your data: you retain ownership of the information you provide to configure the Service. You grant Centurim a limited licence to process it solely to deliver the Service.

Service output: subject to an active subscription, you may use the leads, reasoning, and drafted messages the Service provides for your own outreach.

Our platform: the Service, including its design, features, models, methods, and underlying technology and data pipeline, remains the exclusive and proprietary property of Centurim Ltd.

7. Data Protection

We process personal and business data as described in our Privacy Policy. Where you use the Service to contact businesses, you act as the controller for that outreach and are responsible for your own compliance. Centurim honours opt-out and removal requests promptly.

8. Limitation of Liability

To the maximum extent permitted by law, Centurim shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the Service in the three months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Signals are surfaced in good faith from information believed to be accurate, but we do not guarantee that every lead will convert or that the Service will be uninterrupted or error-free.

10. Termination

We reserve the right to suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.
